(hereinafter the “Company”) is committed to protecting the confidentiality and security of personal information collected in connection with the use of its application (hereinafter “LYCHii”). This Privacy Policy (hereinafter the “Policy”) describes the nature of the personal information we collect, how we collect it, the purposes for which we use it, the persons who have access to it, and the rights available to users in respect of that information. The Policy is intended to ensure compliance with the Act respecting the protection of personal information in the private sector (hereinafter “Law 25”) and other applicable privacy laws.
For the purposes of this Privacy Policy, a “user” means any natural person who accesses or uses the Application, including to review, enter, manage, or process information concerning employees under that person’s supervision. A user is generally a supervisor, manager, or other person authorized by the organization to use the Application in the course of that person’s duties.
By using LYCHii, you acknowledge that you have read this Policy and agree to its terms.
What is personal information? Personal information is information concerning a natural person that allows that person to be identified, directly or indirectly. Certain information may be considered sensitive because of its nature or the context in which it is used, including information relating to employment, conduct, health, or disciplinary action.
- Personal Information Collected
In connection with the use of LYCHii, we may collect the following personal information concerning employees:
- First and last name;
- Job title;
- Employee number;
- Employment start date;
- Summary of events giving rise to disciplinary action.
No other personal information is collected beyond what is necessary to fulfill the purposes described in section 3 of this Policy.
- How Personal Information Is Collected
Personal information is collected primarily through the form integrated into the Application, which is completed or updated by an authorized person, such as a supervisor, a member of the human resources team, or a member of the legal team.
When personal information concerning an employee is disclosed to LYCHii by a client organization or an authorized user, LYCHii acts as a service provider to the client organization and processes the information only to the extent necessary to perform the services contemplated by the applicable agreement. The client organization remains responsible for ensuring that the collection, use, and disclosure of the information are authorized by law and limited to what is necessary for the purposes pursued.
- Purposes for Which Information Is Collected
The personal information collected is used exclusively for the following purposes:
- to open, document, and maintain an employee file;
- to analyze facts relevant to a disciplinary matter;
- to support the handling and resolution of disciplinary measures;
- to generate customized recommendations concerning progressive discipline;
- to ensure the operation, security, integrity, technical support, and improvement of the Application;
- to comply with applicable legal, regulatory, and contractual obligations.
LYCHii does not use personal information for purposes incompatible with the foregoing, except with the consent of the person concerned or as authorized by law.
3.1 Decisions Based on Automated Processing and Human Oversight
LYCHii does not make any decision on an automated basis. Recommendations, suggested progressive-discipline measures, draft letters, and other content generated by LYCHii’s automated technologies or artificial intelligence systems are decision-support tools only and must, at all times, be reviewed and validated by an authorized human person before any decision, communication, or disciplinary measure. In accordance with Law 25, any person concerned by a decision based exclusively on automated processing of their personal information may request to be informed of the use of that process, of the main factors and parameters that led to the decision, and of the means available to submit observations to a person able to review the decision.
- Cookies and Similar Technologies
LYCHii may use cookies, device identifiers, technical logs, or other similar technologies to operate the Application, authenticate authorized users, maintain session security, prevent unauthorized access, measure Application performance, diagnose errors, and improve the services.
Certain cookies or technologies are strictly necessary for the secure operation of the Application and cannot be disabled without affecting access or certain functionality. When non-essential cookies or technologies are used, including for measurement, analytics, or improvement purposes, LYCHii uses them in accordance with applicable consent, notice, and privacy-setting requirements.
Users can generally control certain cookies or similar technologies through their browser or device settings or, where applicable, settings offered within the Application. Disabling certain cookies or settings may, however, limit access to certain features, reduce the quality of the experience, or prevent secure authentication.
- How to Object to the Collection of Your Personal Information
Any person concerned may contact the person responsible identified in section 9 to ask a question or submit a request concerning the use of that person’s personal information.
Where information is processed by LYCHii on behalf of a client organization, LYCHii may forward the request to that organization or cooperate with it in responding, according to their respective responsibilities and applicable legal requirements. A request to object to or cease a use will be assessed in accordance with the rights provided by law and applicable legal and contractual obligations.
- Persons with Access to Personal Information
Access to personal information collected is strictly limited to the following persons, to the extent required for the performance of their duties:
- The legal and human resources teams, in connection with employee files and disciplinary matters;
- The supervisor of the employee concerned, to the extent necessary to perform the supervisor’s management responsibilities.
- LYCHii’s legal team, which oversees the proper use and operation of the Application.
LYCHii does not sell or rent personal information. When a service provider has access to personal information, LYCHii requires the provider to protect it, keep it confidential, use it solely to perform its mandate, and implement appropriate security safeguards. The provider must also promptly notify LYCHii of any breach or attempted breach of its confidentiality obligations and allow LYCHii to conduct any reasonable verification in that regard.
LYCHii may also disclose personal information without consent where permitted or required by law, including in response to an order of a court or competent authority, to prevent or investigate fraud or a security incident, or to protect the rights, property, or safety of LYCHii, its clients, the persons concerned, or the public.
- Privacy Settings and Protection of Personal Information
By default, LYCHii applies a high level of confidentiality to information recorded in the Application. No personal information is to be accessible beyond authorized persons unless a setting is knowingly changed by a person authorized to do so.
LYCHii implements reasonable administrative, technical, contractual, and physical safeguards to protect personal information against loss, theft, unauthorized access, viewing, disclosure, copying, use, or modification, and against any other confidentiality incident.
These safeguards include encryption of personal information in transit using secure protocols such as TLS 1.2 or later; encryption of data at rest using robust encryption standards such as AES-256 or an equivalent standard; role-based access and authorization controls; authentication of authorized users; access logging and monitoring; segregation of data among different client organizations; secure data backups; secure management of secrets and access credentials; and contractual commitments requiring our service providers to apply appropriate confidentiality and security safeguards.
Despite these safeguards, no method of electronic transmission or storage is completely secure. Any person who believes that an account, password, or the confidentiality of information has been compromised must notify LYCHii without delay.
7.1 Notification in the Event of a Confidentiality Incident
In the event of a confidentiality incident presenting a risk of serious harm to a person concerned, LYCHii takes reasonable measures to reduce the risk that harm will be caused and to prevent further incidents of the same nature, maintains a register of confidentiality incidents in accordance with the law, and notifies the Commission d’access à l’information du Québec and the persons concerned, within the time limits and in the manner prescribed by law. Where the incident occurs in the course of a mandate performed on behalf of a client organization, LYCHii also notifies that organization without delay so that it may comply with its own legal obligations.
- Rights of Persons Concerned
Any person whose personal information is collected has the following rights:
Right of access: the right to obtain disclosure of the personal information concerning that person that is held by LYCHii;
Right of rectification: the right to have personal information concerning that person updated or corrected, including where it is inaccurate, incomplete, or outdated.
Right to withdraw consent: the person concerned by the collection of information may withdraw consent at any time, subject to LYCHii’s legal or contractual obligations and the reasonable consequences that such withdrawal may have on the employment relationship or the services offered;
Right to lodge a complaint: any person dissatisfied with LYCHii’s response to an access, rectification, or consent-withdrawal request, or who believes that personal information has been handled contrary to applicable law, may lodge a complaint with the Commission d’access à l’information du Québec ( www.cai.gouv.qc.ca ).
To exercise any of these rights, the person concerned must contact the person responsible identified in section 9 below. LYCHii will respond to each request within 30 days, in accordance with applicable privacy laws.
8.1 Persons Concerned Who Are Not Users (Employees)
The rights set out in this section 8 belong to the “person concerned,” that is, the natural person whose personal information is processed (including an employee who is the subject of a file recorded in LYCHii), who is distinct from the “user” within the meaning of this Policy (generally a supervisor, manager, or other authorized member of the client organization). LYCHii generally has no direct contractual relationship with the person concerned where that person is not themselves a user. It is the client organization’s responsibility to inform its employees of the collection and processing of their personal information in LYCHii, in accordance with its own transparency obligations under the law. LYCHii forwards or supports the handling of any request received from a person concerned in accordance with section 5 of this Policy and the respective responsibilities of LYCHii and the client organization.

- Retention, Destruction, and Anonymization of Personal Information
LYCHii retains personal information only for the period necessary to achieve the purposes set out in section 3, or for the period required or permitted by law. Retention periods may vary according to the nature of the information, the context in which it was collected, applicable legal, regulatory, or contractual obligations, the need to address a request, complaint, dispute, or confidentiality incident, and reasonable record-management requirements.
Personal information may be stored by LYCHii or its service providers, including outside Quebec or Canada. In such cases, LYCHii takes reasonable measures to ensure that the information receives adequate protection. Where personal information is transferred outside Quebec, LYCHii conducts a privacy impact assessment prior to the transfer, in accordance with the law, to ensure that the information will receive adequate protection.
- Electronic Messages and Unsolicited Communications
LYCHii complies with applicable laws governing electronic communications, including rules concerning commercial electronic messages and unsolicited communications. If a user no longer wishes to receive certain promotional or informational electronic communications, the user may use the unsubscribe mechanism provided in those communications or contact LYCHii to manage communication preferences.
LYCHii may nevertheless continue to send necessary or transactional communications concerning an account, access to the Application, a support request, a contractual obligation, a security incident, or a material change to the services or to personal information practices, where such communications are permitted or required by law.
- Amendments to This Policy
LYCHii may amend this Policy to reflect changes in its practices relating to the collection, use, disclosure, retention, or protection of personal information, changes to its services or technologies, or applicable legal requirements.
Any amendment will be published in the Application or otherwise brought to users’ attention, together with a revised update date. Users are encouraged to review this Policy regularly to remain informed of any changes.
This Policy is made available in French and English. In the event of any discrepancy, contradiction, or inconsistency between the versions, the French version prevails unless otherwise required by law.
- Questions, Comments, Suggestions, or Complaints
For any question, comment, suggestion, or complaint concerning this Policy or LYCHii’s personal information protection practices, persons concerned may contact the person responsible for the protection of personal information identified in section 9.
LYCHii will review any complaint submitted in good faith, conduct such reasonable inquiries as the circumstances warrant, and, where the complaint is substantiated, take appropriate steps to correct the situation, limit possible consequences, and improve its practices where required.

These Terms of Use constitute an agreement among the user, the client organization on whose behalf the user acts, where applicable, and 17817215 CANADA INC., the operator of LYCHii. They govern access to and use of LYCHii. By accessing the Application, the Web portal, or any LYCHii functionality, you confirm that you have read, understood, and accepted these Terms.
For the purposes of these Terms, a “user” means any natural person acting as a supervisor on behalf of the client and authorized to access and use LYCHii in the course of that person’s duties.
The “client organization” is the organization for which the user works and that has subscribed to use the Application.
If you do not accept these Terms, you must immediately stop using LYCHii.
Please note that, during LYCHii’s trial period (the “Beta Period”), the Application and Web portal may be offered with evolving or incomplete functionality, or functionality subject to adjustment. By using LYCHii during the Beta Period, the client organization and users acknowledge that the services remain in a testing phase; that errors, interruptions, functional limitations, or modifications may occur; and that the agreed price reflects this development and validation phase. This provision is temporary and may be removed when the Beta Period expires.
Founding Client Program
Client organizations that subscribe to LYCHii’s services during the Beta Period do so as “Founding Clients.” Users and the client organization acknowledge that the pricing, terms, features, service levels, and other conditions offered to them at this stage are preliminary, promotional, and evolving in nature, and are subject to being modified, adjusted, enhanced, withdrawn, or replaced as LYCHii continues to develop its services, subject to reasonable notice provided in accordance with section 19 (Amendments to the Terms). Founding Client status confers no vested right and no guarantee that the pricing, terms, or features offered during the Beta Period will be maintained, renewed, or continued beyond the Beta Period.
- Purpose of the Services
LYCHii offers an Application intended primarily for supervisors, managers, and other authorized persons to report, document, and track incidents or circumstances that may lead to recognition for commendable performance or to disciplinary action in the workplace. LYCHii also offers a Web portal intended primarily for human resources professionals, members of a legal team, and other persons authorized by the client organization in the course of their duties.
The Application allows relevant facts to be recorded and available information to be structured. At certain stages in the handling of a matter, it may present the supervisor with a suggested disciplinary measure, an overview of that measure, and general guidance concerning its communication or delivery.
The Web portal allows authorized persons, including human resources professionals, to obtain a recommendation generated using automated technologies and based on the methods, practices, and parameters built into LYCHii. The recommendation is intended to support progressive discipline, the disciplinary process, and the client organization’s internal analysis and does not constitute legal advice.
- Access, Authorized Users and Accounts
Access to LYCHii is restricted to client organizations and the users they authorize. Each user must use an individual account, maintain the confidentiality of account credentials, and promptly notify LYCHii or the client organization if the user believes that the security of the account has been compromised.
User accounts may not be shared, assigned, loaned, or used by anyone other than the authorized user. The client organization remains responsible for designating authorized persons, managing internal access, and notifying LYCHii when access must be changed, suspended, or revoked.
The sharing or use of an account by anyone other than the authorized user compromises the integrity of Application functionality, particularly functionality based on user identification, such as the traceability of disciplinary measures, and may result in a breach of the client organization’s and LYCHii’s obligations concerning the protection of employee personal information. LYCHii will not be liable for consequences arising from such sharing or unauthorized use.
LYCHii may also suspend or restrict access to any user account or functionality where reasonably necessary to maintain security, prevent misuse, comply with the law, protect processed information, or enforce these Terms.
- Role of the Client Organization and Users
The client organization and its users are responsible for the accuracy, relevance, sufficiency, and currency of information entered into LYCHii. Generated recommendations depend on the information supplied and may be incomplete or inappropriate where the facts are inaccurate, partial, ambiguous, or incorrectly characterized.
Accordingly, the user agrees to:
- enter accurate, complete, and truthful descriptions of events;
- not use the Application to harass, discriminate against, or retaliate against an employee concerned;
- comply with the client organization’s internal policies and applicable employment, human rights, and privacy laws;
- validate the content of any generated letter before it is delivered to the employee concerned, including its compliance with the client organization’s policies and any applicable collective agreement.
- validate and approve, before any use, implementation, or communication, any recommendation, content, or suggestion generated by LYCHii’s automated or artificial-intelligence functionality, and never rely on it exclusively, automatically, or without exercising independent professional judgment;
The client organization remains solely responsible for its management and disciplinary decisions, employee communications, letters, employment records, legal and collective-agreement obligations, and any professional advice considered necessary.
- Use of Artificial Intelligence and Automated Technologies
LYCHii is a disciplinary-management support solution intended for organizations, human resources professionals, supervisors, managers, and other authorized persons. Although developed using expertise in technology, labor and employment law, and human resources, LYCHii does not provide legal advice; rather, it provides recommendations, general guidance, and decision-support tools.
LYCHii may use rules, analytical models, automated technologies, or artificial intelligence systems to generate a recommendation concerning progressive discipline, propose an overview of a disciplinary measure, provide general guidance concerning its communication or delivery, and, where available, support the preparation of a draft letter or disciplinary document. Where a decision is based exclusively on automated processing, the person concerned may request information regarding the use of that process, the principal factors and parameters that led to the decision, and the means available to correct the information used or submit observations to a person capable of reviewing the decision.
4.1 Mandatory Human Oversight
LYCHii is a decision-support tool. LYCHii does not make, render, or communicate any disciplinary, administrative, or other decision on behalf of the client organization or the user. Any recommendation, suggested progressive-discipline measure, overview, general guidance, or draft letter or document generated by LYCHii’s rules, analytical models, automated technologies, or artificial intelligence systems must imperatively be reviewed, validated, and approved by an authorized human person (a supervisor, human resources professional, or member of the client organization’s legal team) before any implementation, communication to an employee, or decision based on that content. The user and the client organization agree never to rely exclusively or automatically on content generated by LYCHii, to exercise their independent professional judgment at all times, and to treat LYCHii’s recommendations as a support tool rather than a final decision or a substitute for human analysis.
- No LegalAdviceor Lawyer-Client Relationship
The online services and content offered through the Application are not a substitute for, and are not intended to replace, the advice or services of a lawyer. The online services and content supplied in connection with the services do not constitute legal advice, and LYCHii does not warrant that they are accurate, complete, or current.
Neither the online services nor the content are intended to create a lawyer-client relationship. Use of the online services or content does not and will not create any lawyer-client relationship between the user and LYCHii or any of its officers, employees, agents, subcontractors, or other representatives.
- Confidentiality, Sensitive Information, and Appropriate Use of Data
Users must enter only information that is necessary, accurate, and relevant to handling the matter. They must avoid entering excessive, irrelevant, speculative, discriminatory, defamatory, or otherwise unnecessary information.
Users must also avoid uploading or entering unnecessary highly sensitive government information, including detailed medical information, identifiers, detailed financial information, or other protected information exceeding the needs of the matter.
Use of LYCHii must comply with the Privacy Policy, the client organization’s internal policies, and applicable privacy, human rights, employment, labor, and labor-relations laws.
- Prohibited Uses
LYCHii may not be used for any unlawful, abusive, discriminatory, misleading purpose or any purpose incompatible with these Terms. In particular, no person may attempt to access unauthorized accounts, files, data, or functionality; disrupt LYCHii’s operation; circumvent security measures; transmit malicious code; or use robots, scripts, automated data-collection tools, or similar techniques without prior written authorization.
LYCHii must not be used to harass, improperly monitor, profile, discriminate, or make decisions based on grounds prohibited by law, or to circumvent the client organization’s obligations concerning investigation, procedural fairness, accommodation, proportionality, or respect for fundamental rights.
- Intellectual Property
LYCHii, its interface, structure, functionality, text, methods, models, parameters, recommendations, templates, workflows, knowledge bases, code, visual elements, and related documentation are protected by applicable intellectual property laws and remain the property of LYCHii or its licensors.
Subject to the applicable agreement between LYCHii and the client organization, LYCHii grants users a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to use LYCHii solely for the client organization’s internal purposes.
Nothing in these Terms transfers to the user or client organization any ownership right in LYCHii, its components, methods, models, content, general recommendations, or underlying technologies.
8.1 Ownership of File-Specific Generated Content
Subject to LYCHii’s intellectual property rights set out in this section 8, the specific content generated by LYCHii for a particular file of the client organization (for example, a draft disciplinary letter specific to an identified employee) belongs to the client organization. LYCHii retains all rights in the underlying technology, and in its methods, models, parameters, templates, general recommendations, and other components used to generate that content.
- Prohibition on Extraction, Reverse Engineering, and Training AI Systems
No person may copy, extract, bulk-download, reproduce, adapt, disassemble, decompile, attempt to discover source code, reconstruct LYCHii’s logic, parameters, or methods, or use LYCHii content, recommendations, data, outputs, or elements to create, train, retrain, validate, test, or improve an artificial intelligence system, machine-learning model, database, or competing product without LYCHii’s prior written authorization.
- Third-Party Services and Technology Providers
LYCHii may rely on technology providers, hosting services, security services, analytics tools, communication services, or other third-party services necessary to operate, support, maintain, secure, or improve the Application.
These providers may change from time to time. Use of LYCHii may be subject to certain technical limitations, terms, or constraints specific to those providers, without creating a direct contractual relationship between the user and those providers unless otherwise stated.
- Availability, Updates, and Content Backup
LYCHii may be modified, updated, suspended, or temporarily unavailable, including for maintenance, security, improvement, correction, technical-constraint, or force-majeure reasons. LYCHii does not warrant that the Application, Web portal, or their functionality will be available uninterrupted, error-free, or at all times.
The client organization and users are responsible for retaining, in their own systems or records, any documents, decisions, communications, letters, or other content they wish to preserve in accordance with their internal and legal obligations.
11.1 Force Majeure
LYCHii will not be liable for any failure, delay, or unavailability resulting from an event of force majeure, including a natural disaster, pandemic, armed conflict, act of government, major failure of a cloud infrastructure or telecommunications provider, cyberattack, or security incident beyond LYCHii’s reasonable control, or a strike. Obligations affected by such an event are suspended for its duration. LYCHii will notify the client organization within a reasonable time and will make reasonable efforts to restore the services.
11.2 Export and the Client Organization’s Responsibility to Preserve Records
LYCHii allows the client organization and authorized users to download, from the Web portal, employee files, generated letters and documents, and the history of measures and communications recorded therein. It is the client organization’s sole responsibility to download and preserve these files, letters, and history in its own systems at regular intervals, in accordance with its legal, internal, and employment-record-management obligations. LYCHii assumes no responsibility for the loss, unavailability, or inaccessibility of this information if the client organization or user has not carried out such preservation in a timely manner, including in the event of termination, suspension of access, a technical incident, force majeure, or discontinuation of the services.
- Disclaimer of Warranties
To the extent permitted by law, LYCHii is provided without any warranty of results, suitability for a particular situation, freedom from error, complete accuracy, completeness, continuous availability, or fitness for a particular purpose. Recommendations, guidance, draft letters, and other generated content may contain errors, omissions, inaccuracies, or limitations.
The user must exercise judgment, validate the facts, verify sources, and consult a qualified professional where the circumstances require, including where a matter involves complex, sensitive, contentious, unionized, discriminatory, medical, accommodation-related, or employment-termination issues.
- Limitation of Liability
The client organization and authorized users remain solely responsible for their use of LYCHii, the information entered, the interpretation of recommendations, decisions made, disciplinary measures imposed, communications issued, and resulting consequences.
To the fullest extent permitted by applicable law, LYCHii and its officers, directors, employees, agents, suppliers, and partners will not be liable for indirect, special, incidental, punitive, or consequential damages, or for any loss of profits, revenue, customers, data, business opportunities, productivity, or reputation arising from the use of, or inability to use, LYCHii. Except in the case of a party’s gross or intentional fault, this limitation of liability applies to the fullest extent permitted by applicable law.
13.1 Liability Cap
To the extent permitted by law, the total liability of LYCHii and its officers, directors, employees, agents, suppliers, and partners toward the client organization and users, for all causes of action and claims combined over the entire contractual relationship, will not exceed the total amount paid by the client organization to LYCHii during the twelve (12) months preceding the event giving rise to the claim. This limit does not apply to the indemnification obligation set out in section 14, nor in the case of gross or intentional fault, to the extent that the law does not permit limiting its scope.
- Compensation
The client organization and users agree to indemnify and hold harmless LYCHii and its officers, directors, employees, agents, suppliers, and partners from any claim, loss, liability, damage, penalty, fine, or reasonable expense arising from their use of LYCHii, the information they enter, their decisions or communications, their breach of these Terms, or their failure to comply with applicable law.
- Sanctions and Suspension
In the event of non-compliance with these Terms, misuse, a security risk, infringement of LYCHii’s or a third party’s rights, or non-compliance with applicable law, LYCHii may, among other measures, suspend or revoke account access, restrict functionality, delete or block content, require conduct to cease, notify the client organization, or exercise any available remedy.
15.1 Term and Termination
These Terms remain in effect for as long as the client organization or user uses LYCHii. LYCHii may terminate or suspend a client organization’s or user’s access, with or without notice depending on the circumstances, including in the event of a breach of these Terms, a security risk, or non-payment, subject to the terms of the applicable agreement with the client organization. The client organization may also terminate its use of LYCHii in accordance with the applicable agreement. Upon termination, access to LYCHii ceases; the client organization remains responsible for retrieving, before the effective date of termination, any data or content it wishes to preserve. The provisions relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, and any other provision that by its nature should survive termination will remain in effect after termination.
- ElectronicMessages
LYCHii may send users electronic communications relating to their accounts, access to services, support, security, updates, service changes, or these Terms. Commercial or promotional communications, if any, will be sent in accordance with applicable law and will generally include an unsubscribe mechanism.
- Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to any contrary mandatory provision, any dispute concerning these Terms or the use of LYCHii will be submitted to the courts of competent jurisdiction in the Province of Quebec.
- Entity and Severability
If any provision of this agreement is declared void, invalid, unlawful, or unenforceable, in whole or in part, by a court or competent authority, that provision will be severed from the agreement to the extent necessary. The remaining provisions will remain in full force and effect, and their validity or enforceability will not be affected.
- Amendments to the Terms

Continued use of LYCHii after amendments take effect constitutes acceptance of the amended Terms, subject to any applicable mandatory rule.

These Terms may be made available in French and English. In the event of any discrepancy, contradiction, or inconsistency between the versions, the French version prevails unless otherwise required by law.
